This Non-Disclosure agreement is made and entered into as of the Effective date of service, affiliation and/or partnership between:  All customers, associates, affiliates, employees and partners.  Participant __________________________   Company _______________________

The purpose of this Agreement is to protect confidential and proprietary information shared between MGWES and its customers or affiliates.

Confidential Information includes but is not limited to:

• Business strategies, marketing plans, and client lists
• Trade secrets, proprietary software, and workflows
• Pricing structures, financial data, and revenue models
• Any information labeled as confidential by MGWES

The Participant agrees not to:   a. Disclose, share, or distribute Confidential Information to third parties.   b. Use Confidential Information for personal gain or to benefit a competitor.   c. Copy, alter, or replicate business methods without prior written consent.

Confidential Information does not include information that:   a. Was already publicly available before disclosure.   b. Was legally obtained from a third party with no confidentiality obligation.   c. Is required to be disclosed by law, provided notice is given to MGWES.

This Agreement shall remain in effect during the business relationship and for a period of [5] years after termination. Confidentiality obligations shall survive termination.

Any unauthorized disclosure or misuse of Confidential Information may result in legal action, including injunctive relief and financial damages.

This Agreement shall be governed by the laws of North Carolina, without regard to conflict of law principles.

If any provision of this Agreement is deemed unenforceable, the remaining provisions shall continue in full force and effect.

By signing below, both parties acknowledge their understanding and acceptance of this Agreement.
