Non-Compete Agreement

This Non-Compete agreement is made and entered into as of the Effective date of service, affiliation and/or partnership between: All customers, associates, affiliates, employees and partners. Participant __________________________ Company _______________________

1. PURPOSE

The purpose of this Agreement is to protect the business interests, trade secrets, and proprietary information of MGWES and ensure that customers and affiliates do not engage in competitive activities that may harm the company.

2. NON-COMPETE OBLIGATIONS

During the term of this Agreement and for a period of five (5) years following the termination of any business relationship with MGWES, the Participant agrees not to directly or indirectly: a. Offer tax preparation, credit repair, web design services, marketing tools, or identity protection services that compete with MGWES within all customers, associates, affiliates, employees and partners. . b. Solicit or attempt to solicit customers, affiliates, or employees of MGWES for a competing business. c. Use proprietary business methods, trade secrets, or confidential information obtained through their relationship with MGWES.

3. CONFIDENTIALITY

The Participant acknowledges that they may gain access to proprietary business methods and client lists of MGWES, which shall remain confidential. Unauthorized use or disclosure of such information is strictly prohibited.

4. EXCEPTIONS

This Agreement shall not apply to: a. Prior business relationships or services that predate the association with MGWES. b. Any business activity expressly permitted in writing by MGWES.

5. REMEDIES

Violation of this Agreement may result in legal action, including but not limited to injunctive relief and financial damages. The Participant acknowledges that breaches may cause significant harm to MGWES.

6. GOVERNING LAW

This Agreement shall be governed and interpreted by the laws of NORTH CAROLINA, without regard to conflict of law provisions.

7. NON-DISPARAGEMENT

The Participant agrees not to make false, misleading, or negative statements—whether written, spoken, or posted online—about MGWES, its services, employees, or business practices.

8. CONFIDENTIALITY & INTELLECTUAL PROPERTY

The Participant acknowledges that they may gain access to proprietary business methods, trade secrets, and intellectual property of MGWES, which shall remain confidential. Unauthorized use, replication, or distribution of such assets is strictly prohibited.

9. LIQUIDATED DAMAGES

If the Participant breaches this Agreement, MGWES shall be entitled to recover predetermined financial damages, without requiring proof of actual loss. The amount shall be $25,000 or another reasonable sum based on damages incurred.

7. SEVERABILITY

If any provision of this Agreement is deemed unenforceable, the remaining provisions shall continue in full force and effect.

8. AGREEMENT TERM

This Agreement shall remain in effect for a period of five (5) years following termination of business relations between the parties.
